Item 7.01 Regulation FD Disclosure

Our company, Action Products International, Inc., has been in negotiations to acquire Buddy Browser, Inc., a children’s web browser. On Wednesday, January 23, 2008, we learned that the introducing party disclosed on its website of the existence of such negotiations. We have been in negotiations with Buddy Browser Inc., but to date no definitive acquisition agreement has been executed. There is no assurance that any acquisition or other transaction between Buddy Browser Inc. and us will occur.

In accordance with general instruction B.2 of Form 8-K, the information in this report that is furnished pursuant to this Item 7.01 shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to liabilities of that section. This report will not be deemed an admission as to the materiality of any information in the report that is required to be disclosed solely by Regulation FD.
