Item 5.01 Changes in Control of Registrant

(b) Action Products International, Inc. (the “Registrant”) and NewMarket Technology, Inc. entered into a non-binding letter of intent regarding the possible acquisition by the Registrant of all NewMarket outstanding common stock in exchange for the Registrant’s common shares. After giving effect to the acquisition, NewMarket shareholders would own approximately 75% of the Registrant’s outstanding common shares. There is no assurance that the acquisition will occur at all or, if an acquisition is completed, may be on substantially different terms than described above.
