Section 1.01    Enter Into a Definitive Material Agreement

 

On September 6, 2005, Action Products International, Inc. (the Company) signed an agreement with Amsouth Bank to replace an existing line of credit. In an August 8, 2005 press release, the Company disclosed that it signed a letter of intent with the financial institution, which increased its bank line to $2,500,000 and under certain conditions; the working capital line can be extended to $3,000,000. The borrowings at prime under the line of credit are collateralized by inventory and accounts receivable. The renewed line of credit matures on August 30, 2006 and contains covenants relating to the financial condition of the Company. If the Company fails to maintain compliance with the financial covenants contained in the agreement, the maturity date could be accelerated.
