Item 2.02 Results of Operations and Financial Condition.

On February 15, 2005, Action Products International, Inc. (the “Company”) issued a press release setting forth, among other matters, the Company’s profitability for the twelve months ended December 31, 2004. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
