Item 8.01         Other Events

On August 24, 2004, Cognos Incorporated issued a press release announcing that it had made a public offer to the holders of shares of Frango AB to tender their shares. The largest shareholder of Frango AB has accepted and supports the offer with respect to his holdings. The shares of Series B stock in Frango are listed on the Stockholm Exchange’s (Stockholmsbörsen) O-List. The text of the press release is included as Exhibit 99.1 to this Form 8-K.
