 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On July 26, 2023, The St. Joe Company (the “Company”) issued a press release announcing its financial results for the quarter ended June 30, 2023. A copy of the press release is furnished with this Current Report on Form 8-K as Exhibit 99.1.

On July 26, 2023, the Board of Directors of the Company declared a quarterly cash dividend of $0.12 per share on its common stock, payable on September 8, 2023, to shareholders of record at the close of business on August 11, 2023.
