     The SEC staff had provided comments on the registrant's draft Form 10-K 
and had advised that it may have further comments; The staff advised the 
Company the afternoon of April 1, 1996, the due date, that it should proceed 
to file the Form 10-K despite not having received additional staff comments, 
if any.  The Company filed the Form 10-K as soon as possible thereafter.
