On April 8, 2005, the Compensation Committee of the Board of Directors of REX Stores Corporation (the "Company") awarded cash bonuses to the Company's senior executives for the fiscal year ended January 31, 2005 (fiscal 2004). The Committee established the amount of the Company's after-tax earnings as a percentage of sales as the performance measure for determining senior executives' bonuses.
