Item 8.01  Other Events.

On September 5, 2007, REX Stores Corporation (the "Company") sold seven
properties for approximately $10.4 million. These properties had a book value of
approximately $6.1 million and related notes payable balances of approximately
$3.1 million at July 31, 2007. The Company has thirty days from the closing date
of the transaction to vacate the properties, all of which were operated as
retail stores at September 5, 2007.
