General Rules and Regulations under the Securities Exchange Act of 1934.  The
registrant shall file with the Commission three copies of Form 15, one of
which shall be manually signed.  It may be signed by an officer of the
registrant, by counsel or by any other duly authorized person.  The name and
title of the person signing the form shall be typed or printed under the
signature.

* On April 26, 1995, pursuant to an agreement and plan of merger, Re Capital
  Corporation ("Re Cap") was acquired by Zurich Reinsurance Centre Holdings,
  Inc. ("ZRC"), and each outstanding share of Re Cap's common stock, including
  each share subject to Re Cap's Employee Savings Plan (the "Plan"), was
  converted into the right to receive a fixed amount of cash (without interest
  thereon) and employer common stock is no longer an investment option under the
  Plan.  As a result, interests in the Plan which constituted securities
  registered pursuant to the Securities Act of 1933, as amended, no longer
  exist.  Therefore, the Plan has filed this Form 15 to suspend its duty to file
  reports under Section 15(d) of the Securities Exchange Act of 1934, as
  amended.  On April 27, 1995, Re Cap was merged with and into ZRC, with ZRC as
  the surviving corporation.
