EXPLANATORY NOTE

This current report on Form 8-K/A is being filed as an amendment to the current report on Form 8-K previously filed by us with the U.S. Securities and Exchange Commission (the “SEC”) on August 16, 2013. The purposes of this amendment are to ensure that the Form 8-K is also properly identified as a Schedule TO-C on the SEC’s Electronic Data Gathering, Analysis, and Retrieval (“EDGAR”) system with respect to Maxim Integrated Products, Inc. and ensure that the Form 8-K is also properly identified as a Schedule TO-C on the SEC’s EDGAR system with respect to Volterra Semiconductor Corporation. No other changes have been made to the original filing on Form 8-K.


Item 8.01 Other Events.

On August 15, 2013, Maxim Integrated Products, Inc. (“Maxim”) and Volterra Semiconductor Corporation (“Volterra”) hosted a conference call relating to the proposed acquisition of Volterra by Maxim. A copy of the slides presented during the conference call are attached as Exhibit 99.1 hereto and are incorporated herein by reference. Also, a copy of the transcript of the conference call is attached as Exhibit 99.2 hereto and is incorporated herein by reference.
