(b)           Rick Devenuti has notified the Company that he will resign from the Board of Directors effective November 1, 2009.

 

Item 8.01        Other Events.

 

The Company issued a news release on October 22, 2009 regarding the resignation of Rick Devenuti from the Company’s Board of Directors.  A copy of the news release is included as Exhibit 99.1 to this report.
