Item 2.02 Results of Operations and Financial Condition

On August 9, 2007, Hooper Holmes, Inc. (the “Company”) issued a press release announcing its operating results and financial condition for the quarter ended June 30, 2007.  A copy of the press release is attached to this current report on Form 8-K as Exhibit 99.1

On August 9, 2007, the Company conducted a conference call during which the Company’s Chief Executive Officer and Chief Financial Officer discussed the Company’s results of operations for the quarter ended June 30, 2007 and the Company’s financial condition as of that date.  A copy of the transcript of the call is attached to this current report on Form 8-K as Exhibit 99.2
