Item 2.02. Results of Operations and Financial Condition.

On March 14, 2007, Hooper Holmes, Inc. (the “Company”) issued a press release and on March 15, 2007 conducted a conference call during which the Company's Chief Executive Officer and Chief Financial Officer discussed the Company's operating results and financial condition for the quarter and year-ended December 31, 2006. A copy of the press release and the transcript of the call are attached to this current report on Form 8-K as Exhibits 99.1, and 99.2, respectively.
