Item 8.01 – Other Events
     Nevada Power Company, a wholly-owned subsidiary of Sierra Pacific Resources, announced that on March 29, 2006, it priced a private offering of $250 million principal amount of its 6.650% General and Refunding Mortgage Notes, Series N, due 2036. The notes are expected to be delivered on or about April 3, 2006. The notes will be secured by the lien of the Company’s General and Refunding Mortgage Indenture, which constitutes a lien on substantially all of the Company’s real property and tangible personal property located in the State of Nevada. A copy of the press release is filed as Exhibit 99.1 hereto.
     The offering was made only to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States in compliance with Regulation S under the Securities Act. The notes will not be registered under the Securities Act and may not be offered or sold by holders thereof without registration unless an exemption from such registration is available.

Nevada Power Prices Private Offering of 6.65% General and Refunding
Mortgage Notes, Series N, Due 2036
Las Vegas, Nev. — Nevada Power Company (the “Company”), a wholly-owned subsidiary of Sierra Pacific Resources (NYSE:SRP), today announced that it priced a private offering of $250 million principal amount of its 6.65% General and Refunding Mortgage Notes, Series N, due April 1, 2036. The notes are expected to be delivered on or about April 3, 2006.
Proceeds from the offering, together with available cash, will be utilized to fund the redemption of $35 million aggregate principal amount of the Company’s 8.50% Series Z First Mortgage Bonds due 2023, plus approximately $1 million of associated redemption premiums, $105 million aggregate principal amount of 6.70% Industrial Development Revenue Bonds, Series 1992A, due 2022, which are secured by a like principal amount of the Company’s First Mortgage Bonds, and approximately $122,548,000 aggregate principal amount of the Company’s 8.20% Junior Subordinated Debentures due 2037.
The notes will be secured by the lien of the Company’s General and Refunding Mortgage Indenture, which constitutes a lien on substantially all of the Company’s real property and tangible personal property located in the State of Nevada. The offering will be made only to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and outside the United States in compliance with Regulation S under the Securities Act. The notes will not be registered under the Securities Act and may not be offered or sold by holders thereof without registration unless an exemption from such registration is available.
