Item 8.01. Other Events.
     On June 8, 2006, Michaels Stores, Inc. (the “Company”) announced that its Audit Committee had initiated an internal review into the Company’s historical stock option practices, focused principally on the period from 1990 to 2001. On June 16, 2006, the Company received a grand jury subpoena issued by the U.S. District Court for the Southern District of New York requesting documents relating to the granting of stock options during the period 1996 to the present.
