Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 7, 2007, RF Industries, Ltd. (the “Registrant”) agreed to amend the Registrant’s existing employment agreement with Howard Hill, currently the Registrant’s President and Chief Executive Officer. Under the existing employment agreement, Mr. Hill is entitled to an annual salary of $175,000. Pursuant to the amendment, Mr. Hill’s annual salary will be increased to $200,000 per year, effective September 10, 2007.

On September 7, 2007, the Registrant’s Board of Directors also approved a $50,000 bonus for Mr. Hill. The $50,000 bonus is payable in 2008.
