VENTAS PRICES $125 MILLION OF 6 1/2% SENIOR NOTES DUE 2016

 


 

Proceeds to be Used to Repay Indebtedness Under CMBS Loan

 

LOUISVILLE, KY (December 6, 2005) – Ventas, Inc. (NYSE: VTR) (the “Company” or “Ventas”) announced today that it has priced a private offering of $125 million of 6 1/2% Senior Notes due 2016. The sale of the Notes is expected to close on December 9, 2005.

 

The Notes are being issued by Ventas’s operating partnership, Ventas Realty, Limited Partnership, and a wholly owned subsidiary, Ventas Capital Corporation (the “Issuers”), at a price of 99.5% of the principal amount thereof. The Notes will mature on June 1, 2016 and will be senior unsecured obligations, ranking pari passu with all existing and future senior unsecured indebtedness of the Issuers and the Company. The Company will unconditionally guarantee the Notes. Interest on the Notes will be payable semiannually on June 1 and December 1 of each year, commencing on June 1, 2006.

 

The Company said it currently intends to use the net proceeds of the offering, together with borrowings under its revolving credit facility, to repay all of its outstanding indebtedness under its commercial mortgage backed securities loan.

 

The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
