Item 8.01.Other Events.

 

On June 8, 2023, Ventas Realty, Limited Partnership (“Ventas Realty”), a wholly-owned subsidiary of Ventas, Inc. (“Ventas” or the “Company”), launched and priced $750 million aggregate principal amount of its 3.75% Exchangeable Senior Notes due 2026 (the “Notes”) through a private placement pursuant to Rule 144A promulgated under the Securities Act of 1933, as amended (the “Securities Act”). The sale of the Notes is expected to close on June 13, 2023, subject to satisfaction of customary closing conditions. The Notes will be guaranteed, on a senior unsecured basis, by the Company. Ventas Realty expects to use the net proceeds from the offering for the repayment of its commercial paper notes and for general corporate purposes, including the redemption or repayment of other indebtedness.
