SUPPLEMENT TO PART III

     The Registrant is unable to file its Quarterly Report on Form 10-Q for its
fiscal quarter ended November 30, 1996 (the "Form 10-Q") on or before the
prescribed due date of January 14, 1997. The Registrant is in the process of
completing an amendment of its primary loan facility, which is expected to be
completed no later than the fifth calendar day after the prescribed due date for
the Form 10-Q. The Registrant believes that the effect on the financial
statements as well as the narrative disclosures in Management's Discussion and
Analysis of Financial Conditions and Results of Operations to be contained in
the Form 10-Q will be material. The Registrant expects to file the Form 10-Q on
or before January 20, 1997.
