Item 1.01.    Entry into a Material Definitive Agreement

On July 27, 2005, the Compensation Committee of the Board of Directors of MEDTOX Scientific, Inc., the Registrant, approved amendments to the MEDTOX Scientific, Inc. Long-Term Incentive Plan. The Plan, as amended, is attached as Exhibit 10.1.
