Item 1.01: Entry into a Material Definitive Agreement
On August 26, 2005, the independent members of the Board of Directors of Penford Corporation (the “Company”) approved an amendment to the Company’s non-employee director compensation arrangements. This amendment provides that directors who perform special assignments as part of their Board or Committee service that exceed the normal expectation of the service from Board members are entitled to be compensated at the same per diem rate payable to directors for participation in a meeting of the Board of Directors. Payments made for such special assignment service must be approved by a majority of the independent members of the Board of Directors and the total fees paid for such services may not exceed $60,000 in any fiscal year. A copy of the policy is attached as Exhibit 99.1 to this report.
