FIRST MORTGAGE BONDS 8.25% SERIES OF 2008 DUE 2018


Ohio Edison Company is offering $25,000,000 aggregate principal amount of First Mortgage Bonds 8.25% Series of 2008 due 2018. We refer to the First Mortgage Bonds 8.25% Series of 2008 due 2018 as the Bonds. The Bonds are secured by the lien of our first mortgage and rank equally with all of our other first mortgage bonds from time to time outstanding.

Interest on the Bonds will be payable semi-annually on April 15 and October 15 of each year, beginning on April 15, 2009, and at maturity. The Bonds will mature on October 15, 2018.

We may redeem the Bonds from time to time, in whole or in part, prior to their maturity at the redemption price described in this prospectus supplement. The Bonds do not provide for a sinking fund. For a more detailed description of the Bonds, see “Description of the First Mortgage Bonds” beginning on page S-10.

Ohio Edison Company

We are a wholly owned electric utility operating subsidiary of FirstEnergy Corp., or FirstEnergy. We were organized under the laws of the State of Ohio in 1930 and own property and do business as an electric public utility in that state. We are engaged in the distribution and sale of electric energy to communities in a 7,000 square mile area of central and northeastern Ohio. The area we serve has a population of approximately 2.8 million.

We own all of the outstanding common stock of Pennsylvania Power Company, or Pennsylvania Power. Pennsylvania Power was organized under the laws of the Commonwealth of Pennsylvania in 1930 and owns property and does business as an electric public utility in that state. Pennsylvania Power furnishes electric service to communities in a 1,500 square mile area of western Pennsylvania. The area served by Pennsylvania Power has a population of approximately 0.3 million.

We are offering $25,000,000 aggregate principal amount of our First Mortgage Bonds 8.25% Series of 2008 due 2018.

Maturity

 

The Bonds will mature on October 15, 2018.

Interest

 

Interest on the Bonds will accrue at the per annum rate of 8.25%.

Interest Payment Dates

 

Interest on the Bonds will be payable semi-annually in arrears on each April 15 and October 15 beginning on April 15, 2009, and at maturity.

Optional Redemption

 

The Bonds will be redeemable, in whole or in part, at our option, at any time at a “make-whole” redemption price as described under “Description of the First Mortgage Bonds—Optional Redemption” herein.

Ranking; Security

 

The Bonds will be secured by the lien of, and will rank equally with all our other first mortgage bonds outstanding under, our General Mortgage Indenture and Deed of Trust, dated January 1, 1998, under which The Bank of New York Mellon is trustee (“First Mortgage Trustee”), as previously amended and supplemented by thirteen supplemental indentures (the “First Mortgage”) and as to be further supplemented by a fourteenth supplemental indenture to be dated as of October 1, 2008 (the “Fourteenth Supplemental Indenture”).

 

 

The First Mortgage is a valid and direct lien, subject only to certain permitted liens and other encumbrances, on substantially all our property and franchises subject to certain exceptions. See “Description of the First Mortgage Bonds—Security for the First Mortgage Bonds” in this prospectus supplement.

Sinking Fund

 

There is no sinking fund for the Bonds.

Additional Issuances

 

As of June 30, 2008, we could issue additional first mortgage bonds under the First Mortgage in an aggregate principal amount equal to approximately $1.7 billion, including approximately $1.5 billion on the basis of bondable property and approximately $264.4 million on the basis of refundable bonds.

Limitation on Liens under our Senior Note Indenture

 


The issuance of first mortgage bonds by us is subject to a provision of our senior note indenture generally limiting our incurrence of additional secured debt, subject to certain exceptions that would permit, among other things, our issuance of secured debt (including first mortgage bonds) (i) supporting pollution control notes or similar obligations, or (ii) as an extension, renewal or replacement of previously issued secured debt outstanding as of April 21, 2003. In addition this provision would permit us to incur additional secured debt (including first mortgage bonds) not otherwise permitted by a specified exception of up to $445.1 million as of August 31, 2008. See “Description of Senior Unsecured Debt Securities—Certain Covenants—Limitation on Liens” in the accompanying prospectus.

RECENT DEVELOPMENTS

On October 8, 2008, Pennsylvania House Bill 2200 as amended was voted out of the full Senate and adopted by the House. On October 15, 2008, the governor signed the bill into law. It will take effect on November 14, 2008.

The new legislation includes major provisions dealing with:

 

 

 

 

energy efficiency and peak load reduction;

 

 

 

 

generation procurement; and

 

 

 

 

smart meters and time of use rules.

We are still reviewing the new legislation and are unable to predict the impact it may have on the operations of our subsidiary Pennsylvania Power.

On October 15, 2008, we agreed to sell $275,000,000 of our First Mortgage Bonds 8.25% Series of 2008 due 2038 to the underwriters listed in the prospectus filed with the Securities and Exchange Commission (the “SEC”) on October 16, 2008.

Risks Associated With Financing and Capital Structure

We, FirstEnergy and its other subsidiaries rely on access to the credit and capital markets to finance a portion of our working capital requirements and support our liquidity needs. Access to these markets may be adversely affected by factors beyond our control, including turmoil in the financial services industry, volatility in securities trading markets and general economic downturns. In particular, recent disruptions in the variable-rate demand bond markets could require utilization of a significant portion of the sources of liquidity currently available to FirstEnergy and its subsidiaries.

We, FirstEnergy and its other subsidiaries rely upon access to the credit and capital markets as a source of liquidity for the portion of our working capital requirements not provided by cash from operations and to comply with various regulatory requirements. Market disruptions such as those currently being experienced in the United States and abroad may increase our cost of borrowing or adversely affect our ability to access sources of liquidity upon which we rely to finance our operations and satisfy our obligations as they become due. These disruptions may include turmoil in the financial services industry, including substantial uncertainty surrounding particular lending institutions and counterparties with which we do business, unprecedented volatility in the markets where our outstanding securities trade, and general economic downturns in the areas where we do business. If we, FirstEnergy and its other subsidiaries are unable to access credit at competitive rates, or if our short-term or long-term borrowing costs dramatically increase, our ability to finance our operations, meet our short-term obligations and implement our operating strategy could be adversely affected.

We and certain of our affiliates are obligors under approximately $2.1 billion aggregate principal amount of pollution control revenue bonds, that accrue interest in daily or weekly variable-rate interest modes. Recent disruptions in the variable-rate bond markets could cause unsuccessful remarketings to increase. If some or all of these variable-rate bonds were tendered and could not be remarketed for any reason (including without limitation due to an unsuccessful remarketing or due to the inability to replace expiring letters of credit at competitive rates), a portion of the applicable FirstEnergy subsidiaries’ reimbursement obligations on letters of credit supporting such bonds may need to be satisfied in the short-term from liquidity under the revolving credit and other facilities available to FirstEnergy and its subsidiaries, reducing the amount of liquidity available for other purposes. USE OF PROCEEDS

We estimate that the net proceeds to us from the sale of the Bonds will be approximately $24.3 million, after giving effect to estimated underwriting discounts and commissions and estimated expenses.

We expect to use the net proceeds for capital expenditures and other general corporate purposes.

DESCRIPTION OF THE FIRST MORTGAGE BONDS

As described under “Description of Senior Secured Debt Securities” in the accompanying prospectus, the Bonds will be issued as our senior secured debt securities under our First Mortgage as it is supplemented by the Fourteenth Supplemental Indenture. The terms of the Bonds include those stated in the First Mortgage and the Fourteenth Supplemental Indenture and those made part of the First Mortgage by reference to the Trust Indenture Act of 1939, as amended, or Trust Indenture Act. Holders of the Bonds are referred to the First Mortgage and the Fourteenth Supplemental Indenture for a statement of all such terms. The First Mortgage is, and the Fourteenth Supplemental Indenture will be, exhibits to the Registration Statement of which this prospectus supplement and accompanying prospectus are a part. As used below, First Mortgage refers to the First Mortgage, or as the context may require, the First Mortgage as supplemented by the Fourteenth Supplemental Indenture.

Principal, Maturity and Interest

The Bonds will mature on October 15, 2018, unless earlier redeemed as described under “—Optional Redemption” below.

Interest on the Bonds will:

 

 

 

 

be payable in U.S. dollars at the rate of 8.25% per annum;

 

 

 

 

be computed for each interest period on the basis of a 360-day year consisting of twelve 30-day months and for any period shorter than a full month, on the basis of the actual number of days elapsed in such period;

 

 

 

 

be payable semi-annually in arrears on each April 15 and October 15, beginning on April 15, 2009, and at maturity;

 

 

 

 

initially accrue interest from, and including, the date of original issuance (i.e., October 20, 2008); and

 

 

 

 

be paid to the persons in whose name the Bonds are registered at the close of business on the regular record date, which is the Business Day immediately proceeding the respective interest payment date (other than an interest payment date that is a maturity date or redemption date), so long as the Bonds are issued in book-entry only form and otherwise, the record date will be the fifteenth calendar day next preceeding the respective interest payment date (whether or not a Business Day); see “—Book Entry;” provided, however, that if and to the extent we shall default in the payment of interest due on such interest payment date, in the manner and to the person as provided in the First Mortgage. If any interest payment date should fall on a day that is not a Business Day, then the interest payment shall be made on the next succeeding Business Day and no interest shall accrue for the intervening period with respect to the payment so deferred.

Security for the First Mortgage Bonds

Except as discussed below, the Bonds and all first mortgage bonds of all series currently outstanding and issued by us in the future under the First Mortgage, which we refer to as “first mortgage bonds,” will be secured primarily by a valid first lien on substantially all of our property used or to be used in or in connection with the generation or production of electric energy, subject only to excepted encumbrances as defined in the First Mortgage.

As used in the First Mortgage, “Class A mortgage” means each mortgage or deed of trust or similar indenture entered into by any corporation that is subsequently merged into or consolidated with us and designated a Class A mortgage in a supplemental indenture to the First Mortgage, and “Class A bonds” means bonds or other obligations issued and outstanding under a Class A mortgage. There are currently no Class A mortgages.

The lien of the First Mortgage is subject to “permitted liens” which include:

 

 

 

 

tax liens and other governmental charges which are not delinquent or which are being contested, mechanic’s, warehousemen’s and materialmen’s liens;

 

 

 

 

some judgment liens, easements, reservations and rights of others, including governmental entities, in, and defects of title in, some of our property;

 

 

 

 

some leasehold interests;

 

 

 

 

liens on our pollution control and sewage and solid waste facilities; and

 

 

 

 

some other liens and encumbrances. (Section 1.01 of First Mortgage.)

There are excepted from the lien of the First Mortgage, among other things:

all books and records. (Granting Clauses of First Mortgage.)

Without the consent of the holders of the first mortgage bonds, we may enter into supplemental indentures with the First Mortgage Trustee to subject to the lien of the First Mortgage additional property, whether or not used in the electric utility business, including property which would otherwise be excepted from the lien of the First Mortgage. (Section 14.01 of First Mortgage.) These properties, so long as they would otherwise constitute property additions as described under “—Issuance of Additional First Mortgage Bonds” below, would then constitute property additions and be available as a basis for the issuance of first mortgage bonds. (See “—Issuance of Additional First Mortgage Bonds” below.)

The First Mortgage contains provisions subjecting after-acquired property to the lien of the First Mortgage, subject to the prior lien of any Class A mortgage. These provisions are limited in the case of consolidation or merger, whether or not we are the surviving corporation, or sale of substantially all of our assets. In the event of our consolidation or merger with or into another corporation and this other corporation is the surviving corporation or our transfer of all the mortgaged property as or substantially as an entirety, the First Mortgage will not be required to be a lien upon any of the properties then owned or in the future acquired by the surviving corporation, except properties acquired from us in or as a result of that transaction and improvements, extensions and additions to these properties and renewals, replacements and substitutions of or for any part or parts of these properties. In the event of a merger or consolidation of a corporation with or into us and we are the surviving corporation, unless a supplemental indenture to the First Mortgage otherwise provides, the First Mortgage will not be required to be a lien upon any of the properties acquired by us in or as a result of that transaction or any improvements, extensions or additions to these properties or any renewals, replacements or substitutions of or for any part or parts of these properties. (Article Thirteen of First Mortgage; and see “—Consolidation, Merger, Conveyance, Transfer or Lease” below.) In addition, after- acquired property may be subject to vendors’ liens, purchase money

mortgages and other liens on the after-acquired property at the time of acquisition of the after-acquired property, including the lien of any Class A mortgage.

The First Mortgage provides that the First Mortgage Trustee will have a lien, prior to the lien on behalf of the holders of first mortgage bonds, upon mortgaged property and any money collected by the First Mortgage Trustee as proceeds of the mortgaged property, for the payment of its reasonable compensation and expenses and for indemnity against certain liabilities. (Section 11.07 of First Mortgage.)

We have not made any appraisal of the value of our properties subject to the lien of the First Mortgage. The value of the properties in the event of liquidation will depend on market and economic conditions, the availability of buyers and other factors. In the event of liquidation, if the proceeds were not sufficient to repay amounts under all of the first mortgage bonds then outstanding, including the Bonds, then holders of the first mortgage bonds, to the extent not repaid from the proceeds of the sale of the collateral, would only have an unsecured claim against our remaining assets. As of June 30, 2008, we had total senior secured indebtedness of approximately $34.3 million and total senior unsecured indebtedness of approximately $804.0 million.

Issuance of Additional First Mortgage Bonds

The First Mortgage does not limit the principal amount of first mortgage bonds which we may issue (Section 3.01 of First Mortgage). We may issue first mortgage bonds of any series from time to time under Article Four of the First Mortgage on the basis of, and in an aggregate principal amount not exceeding:

 

(1)

 

 

 

the aggregate principal amount of pledged Class A bonds issued and delivered to the First Mortgage Trustee and, in general, not previously used as the basis for the issuance of first mortgage bonds, any credit against sinking, replacement or analogous funds for any series of first mortgage bonds or the release of property additions;

 

(2)

 

 

 

70% of the lesser of cost or fair value to us of property additions which do not constitute bonded property additions after some deductions and additions set forth in the First Mortgage, primarily including adjustments to offset property retirements; for purposes of the First Mortgage,

“cost” with respect to property additions means generally the sum of cash, securities or indebtedness paid or assumed in connection with the property additions in question. If no cash, securities or indebtedness is paid or assumed, then no determination of cost is required under the First Mortgage and cost will mean the greater of (a) the fair value or (b) the book value of the acquired property additions at the time of their acquisition;

“fair value” means the value of property determined without deduction for any prior liens on the property and without deduction to reflect that the property may be of value only to us or another operator of the mortgaged property as a whole. Fair value may be determined without physical inspection, by use of accounting and engineering records or other data maintained by or available to us; and

“bonded property additions” means generally, property additions which have been made the basis of the authentication and delivery of first mortgage bonds, the release of mortgaged property or cash withdrawals;

 

(3)

 

 

 

the aggregate principal amount of retired bonds, but if pledged Class A bonds have been made the basis for the authentication and delivery of such retired bonds, only if the related Class A mortgage has been discharged; for purposes of the First Mortgage, “retired bonds” consist of first mortgage bonds no longer outstanding under the First Mortgage (including first mortgage bonds deposited under any sinking or analogous funds) which have not been used for certain other purposes under the First Mortgage and which are not to be paid, redeemed or otherwise retired by the application of funded cash; and

 

(4)

 

 

 

cash deposited with the First Mortgage Trustee.

In general, the issuance of first mortgage bonds is subject to our “adjusted net earnings” for 12 consecutive months within the preceding 18 months being at least two times the annual interest requirements on:

 

 

 

 

all first mortgage bonds at the time outstanding;

 

 

 

 

first mortgage bonds then applied for;

 

 

 

 

all outstanding bonds issued under Class A mortgages other than pledged Class A bonds held by the First Mortgage Trustee under the First Mortgage and any for the payment or redemption of which the first mortgage bonds applied for are to be issued; and

 

 

 

 

all other indebtedness (with certain exceptions) secured by a lien on parity with or prior to the lien of the First Mortgage,

except that we will not need to meet this net earnings requirement if the additional first mortgage bonds to be issued have no stated interest rate prior to their maturity. We are not required to satisfy the net earnings requirement prior to issuance of first mortgage bonds as provided in (1) above if the pledged Class A bonds issued and delivered to the First Mortgage Trustee as the basis for the issuance have been authenticated and delivered under the related Class A mortgage on the basis of retired Class A bonds. In addition, we are not required to satisfy the net earnings requirement prior to issuance of first mortgage bonds as provided in (3) above unless:

 

 

 

 

the stated maturity of the retired bonds is a date less than five years after our request to the First Mortgage Trustee for the authentication and delivery of these first mortgage bonds; and

 

 

 

 

the maximum stated interest rate, if any, on those retired bonds at the time of their authentication and delivery is less than the maximum stated interest rate, if any, on these first mortgage bonds to be in effect upon the initial authentication and delivery of these first mortgage bonds.

In general, the interest requirement with respect to variable interest rate indebtedness, if any, is determined with reference to the rate or rates in effect on the date immediately preceding the determination of the rate to be in effect upon initial authentication. (Section 1.03 and Article Four of First Mortgage.)

Our adjusted net earnings for purposes of the First Mortgage consists of our earnings calculated before, among other things:

 

 

 

 

provisions for income taxes;

 

 

 

 

depreciation or amortization of property;

 

 

 

 

interest on any indebtedness and amortization of debt discount and expense;

 

 

 

 

any non-recurring charge to income of whatever kind or nature (including without limitation the recognition of expense or impairment due to the non-recoverability of assets or expense), whether or not recorded as a non-recurring item in our books of account; and

 

 

 

 

any refund of revenues previously collected or accrued by us subject to possible refund.

Under the First Mortgage, “property additions” means generally any property owned by us and subject to the lien of the First Mortgage, except any property the cost of acquisition or construction of which is properly chargeable to one of our operating expense accounts. (Section 1.04 of First Mortgage.) As of June 30, 2008, we could issue additional first mortgage bonds under the First Mortgage in an aggregate principal amount equal to approximately $1.7 billion, including approximately $1.5 billion on the basis of bondable property and approximately $264.4 million on the basis of refundable bonds. We will issue the Bonds on the basis of property additions as described in (2) above.

The issuance of first mortgage bonds by us is subject to a provision of our senior note indenture generally limiting our incurrence of additional secured debt, subject to certain exceptions that would permit, among other things, our issuance of secured debt (including first mortgage bonds) (i) supporting pollution control notes or similar obligations, or (ii) as an extension, renewal or replacement of previously issued secured debt outstanding as of April 21, 2003. In addition, we could incur under this provision additional secured debt (including first mortgage bonds) not

otherwise permitted by a specified exception of up to $445.1 million as of August 31, 2008. See “Description of Senior Unsecured Debt Securities—Certain Covenants—Limitations on Liens” in the accompanying prospectus.

Release of Property

We may obtain a release from the lien of the First Mortgage of any mortgaged property if the fair value of all of the mortgaged property, excluding the mortgaged property to be released but including any mortgaged property to be acquired by us with the proceeds of, or otherwise in connection with, the release, equals or exceeds an amount equal to twenty-fourteenths (20/14ths) of the aggregate principal amount of first mortgage bonds outstanding and bonds issued under Class A mortgages outstanding, other than pledged Class A bonds.

The First Mortgage provides simplified procedures for the release of property from the lien of a Class A mortgage, minor properties and property taken by eminent domain. It also provides for dispositions of certain obsolete property and grants or surrender of certain rights without any release or consent by the First Mortgage Trustee.

If we continue to own any property after it is released from the lien of the First Mortgage, the First Mortgage will not become a lien on any improvement, extension or addition to that property or any renewals, replacements or substitutions of or for any part or parts of that property. (Article Eight of First Mortgage.)

Withdrawal of Cash

Subject to certain limitations, cash held by the First Mortgage Trustee may:

 

 

 

 

be withdrawn by us:

 

 

 

 

to the extent of the lesser of the cost or fair value to us of unbonded property additions, after some deductions primarily including adjustments to offset retirements;

 

 

 

 

in an amount equal to twenty-fourteenths (20/14ths) of the aggregate principal amount of first mortgage bonds that we would be entitled to issue on the basis of retired bonds (with the entitlement to such issuance being waived by operation of such withdrawal); or

 

 

 

 

in an amount equal to twenty-fourteenths (20/14ths) of the aggregate principal amount of any outstanding first mortgage bonds delivered to the First Mortgage Trustee; or

 

 

 

 

upon our request be applied to:

 

 

 

 

the purchase of first mortgage bonds (at prices not exceeding twenty-fourteenths (20/14ths) of the principal amount of the first mortgage bonds); or

 

 

 

 

the redemption or payment at stated maturity of first mortgage bonds, with any first mortgage bonds received by the First Mortgage Trustee pursuant to these provisions being canceled by the First Mortgage Trustee) (Section 8.06 of First Mortgage);

provided, however, that cash deposited with the First Mortgage Trustee as the basis for the issuance, authentication and delivery of first mortgage bonds, as well as cash representing a payment of principal of pledged Class A bonds, may only be withdrawn in an amount equal to the aggregate principal amount of first mortgage bonds we would be entitled to issue on any basis (with the entitlement to such issuance being waived by operation of such withdrawal), or may, upon our request, be applied to the purchase, redemption or payment of first mortgage bonds at prices not exceeding, in the aggregate, the principal amount of the first mortgage bonds. (Sections 4.05 and 7.02 of First Mortgage.)

Optional Redemption

The Bonds will be redeemable, in whole or in part, at our option, at any time at a redemption price equal to the greater of:

 

 

 

 

100% of the principal amount of such Bonds being redeemed; and

the sum of the present values of the Remaining Scheduled Payments (as defined below) discounted to the date of redemption on a semiannual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury Rate (as defined below), plus 50 basis points,

plus in the case of each of the above clauses, accrued and unpaid interest to the date of redemption.

“Comparable Treasury Issue” means the United States Treasury security selected by an Independent Investment Banker as having a maturity comparable to the remaining term (“Remaining Life”) of the Bonds to be redeemed that would be utilized, at the time of selection and in accordance with customary financial practice in pricing new issues of corporate debt securities of comparable maturity to the remaining term of such Bonds.

“Comparable Treasury Price” means with respect to any redemption date, (1) the average of five Reference Treasury Dealer Quotations for such redemption date after excluding the highest and lowest Reference Treasury Dealer Quotations, or (2) if the Independent Investment Banker obtains fewer than five such Reference Treasury Dealer Quotations, the average of all such quotations.

“Independent Investment Banker” means one of the Reference Treasury Dealers appointed by us or, if such firm is unwilling or unable to select the Comparable Treasury Issue, an independent investment banking institution of national standing selected by us.

“Reference Treasury Dealer” means (1) each of Barclays Capital Inc., Credit Suisse Securities (USA) LLC, Greenwich Capital Markets, Inc., J.P. Morgan Securities Inc. and Morgan Stanley & Co. Incorporated and their respective successors, provided, however, that if any of the foregoing shall cease to be a primary U.S. Government securities dealer in The City of New York (a “Primary Treasury Dealer”), we shall substitute therefor another Primary Treasury Dealer; and (2) any other Primary Treasury Dealer, selected by the Independent Investment Banker after consultation with us.

“Reference Treasury Dealer Quotations” means, with respect to each Reference Treasury Dealer and any redemption date, the average as determined by the Independent Investment Banker, of the bid and asked prices for the Comparable Treasury Issue (expressed in each case as a percentage of its principal amount) quoted in writing to the Independent Investment Banker at 5:00 p.m. New York City time, on the third Business Day (as defined in First Mortgage) preceding such redemption date.

“Remaining Scheduled Payments” means, with respect to the Bonds to be redeemed, the remaining scheduled payments of principal and interest on the Bonds of such series that would be due after the related redemption date but for such redemption. If such redemption date is not an interest payment date with respect to such Bonds, the amount of the next succeeding scheduled interest payment on those Bonds will be reduced by the amount of interest accrued on such Bonds to such redemption date.

“Treasury Rate” means, with respect to any redemption date,

 

 

 

 

the yield, under the heading which represents the average for the immediately preceding week, appearing in the most recently published statistical release designated “H.15(519)”, or any successor publication which is published weekly by the Federal Reserve and which establishes yields on actively traded United States Treasury securities adjusted to constant maturity under the caption “Treasury Constant Maturities,” for the maturity corresponding to the Comparable Treasury Issue (if no maturity is within three months before or after the Remaining Life, yields for the two published maturities most closely corresponding to the Comparable Treasury Issue shall be determined and the Treasury Rate shall be interpolated or extrapolated from such yields on a straight line basis, rounding to the nearest month) or

 

 

 

 

if such release (or any successor release) is not published during the week preceding the calculation date or does not contain such yields, the rate per annum equal to the semi-annual equivalent yield to maturity of the Comparable Treasury Issue, calculated using a price for the Comparable Treasury Issue (expressed as a percentage of its principal amount) equal to the Comparable Treasury Price for such redemption date.

The Treasury Rate shall be calculated on the third Business Day preceding the redemption date.

Holders of Bonds to be redeemed will receive notice thereof by first-class mail at least 30 and not more than 180 days prior to the date fixed for redemption. If fewer than all of the Bonds are to be redeemed, the First Mortgage Trustee will select, not more than 60 days prior to the redemption date, the particular portions thereof for redemption from the outstanding Bonds by such method as the First Mortgage Trustee deems fair and appropriate. Any notice of redemption of the Bonds may be conditional on us depositing funds with the First Mortgage Trustee, or irrevocably directing the First Mortgage Trustee to apply moneys held by it, sufficient to pay the redemption price thereof, and if such funds are not so deposited or such direction is not given, the redemption shall not be made and within a reasonable time thereafter notice shall be given, in the manner in which notice of redemption was given, that such money was not so received and such redemption was not required to be made.

Consolidation, Merger, Conveyance, Transfer or Lease

We may not consolidate with or merge into any other corporation or convey, transfer or lease the mortgaged property as or substantially as an entirety to any person unless:

 

 

 

 

the terms of the transaction fully preserve the lien and security of the First Mortgage and the rights and powers of the First Mortgage Trustee and holders of first mortgage bonds;

 

 

 

 

the corporation formed by the consolidation or into which we are merged or the person which acquires by conveyance or transfer, or which leases, the mortgaged property as or substantially as an entirety is a corporation organized and existing under the laws of the United States of America or any state or territory of the United States of America or the District of Columbia, and this corporation by supplemental indenture:

 

 

 

 

assumes the due and punctual payment of the principal of and any premium and interest on the first mortgage bonds and the performance of all of our covenants under the First Mortgage; and

 

 

 

 

confirms the lien of the First Mortgage on the mortgaged property, subjects to that lien all property acquired in the future by the corporation which will constitute an improvement, extension or addition to the mortgaged property or a renewal, replacement or substitution of or for any part of the mortgage property, and, at the election of the corporation, subjects to the lien of the First Mortgage other property then owned or acquired in the future by the corporation as the corporation may specify; and

 

 

 

 

in the case of a lease, that lease will be made expressly subject to termination by us or the First Mortgage Trustee at any time during the continuance of an event of default under the First Mortgage and also by the purchaser of the property so leased at any sale thereof, whether such sale be made under the power of sale conferred under the First Mortgage or pursuant to judicial hearings. (Section 13.01 of First Mortgage.)

The First Mortgage does not contain provisions requiring the repurchase of the first mortgage bonds upon a change in control.

Modification of First Mortgage

Without the consent of any holders of first mortgage bonds, we and the First Mortgage Trustee may enter into one or more supplemental indentures for any of the following purposes:

 

 

 

 

to evidence the succession of another person to us and the assumption by any successor of our covenants in the First Mortgage and in the first mortgage bonds (see “—Consolidation, Merger, Conveyance, Transfer or Lease” above);

 

 

 

 

to add one or more covenants applicable to us or other provisions for the benefit of all holders of first mortgage bonds or holders of first mortgage bonds of one or more specified series or tranches, or to surrender any right or power conferred upon us by the First Mortgage;

to correct or amplify the description of any property subject to the lien of the First Mortgage, or better assure, convey and confirm to the First Mortgage Trustee any property subject or required to be subjected to the lien of the First Mortgage, or to subject to the lien of the First Mortgage additional property;

 

 

 

 

to convey, transfer and assign to the First Mortgage Trustee and to subject to the lien of the First Mortgage with the same force and effect as if included in the First Mortgage, property of our subsidiaries used or to be used for one or more purposes which if owned by us would constitute property used or to be used for one or more of the primary purposes of our business, which property will for all purposes of the First Mortgage be deemed to be our property, together with other provisions as may be appropriate to express the respective rights of the First Mortgage Trustee and us in regard thereto;

 

 

 

 

to change or eliminate any provision of the First Mortgage or to add any new provision to the First Mortgage, unless the change, elimination or addition adversely affects the interests of the holders of the first mortgage bonds of any series or tranche in any material respect, in which case the change, elimination or addition will become effective with respect to that series or tranche only when no first mortgage bond of the series or tranche remains outstanding under the First Mortgage;

 

 

 

 

to establish the form or terms of the first mortgage bonds of any series or tranche as permitted by the First Mortgage;

 

 

 

 

to provide for bearer securities and securities with coupons and for the procedures for the registration, exchange and replacement of those securities and for the giving of notice to, and the solicitation of the vote or consent of, the holders of the securities, and for any and all other matters incidental to these events;

 

 

 

 

to evidence and provide for the acceptance of appointment by a successor trustee, co-trustee or separate trustee;

 

 

 

 

to provide for the procedures required to permit us to utilize, at our option, a noncertificated system of registration for all, or any series or tranche of, the first mortgage bonds;

 

 

 

 

to change any place where:

 

 

 

 

we will pay the principal of and any premium and interest on the first mortgage bonds of any series or tranche;

 

 

 

 

holders may surrender their first mortgage bonds for registration of transfer or exchange; and

 

 

 

 

we may be served by notices and demands to or upon us in respect of any first mortgage bonds and the First Mortgage;

 

 

 

 

to cure any ambiguity or inconsistency in the First Mortgage, or to make any changes to the provisions of the First Mortgage or to add other provisions with respect to matters and questions arising under the First Mortgage, so long as these other changes or additions do not adversely affect holders of first mortgage bonds of any series or tranche in any material respect;

 

 

 

 

to reflect changes in generally accepted accounting principles;

 

 

 

 

to provide the terms and conditions of the exchange or conversion, at the option of the holders of first mortgage bonds of any series, of those first mortgage bonds for or into first mortgage bonds of other series or stock or other securities of ours or any other corporation;

 

 

 

 

to change, as will be effected in the Fourteenth Supplemental Indenture, the words “Mortgage Bonds” to “First Mortgage Bonds” in the descriptive title of all outstanding bonds after the discharge of our Indenture dated August 1, 1930, which discharge occurred as of December 28, 2006; or

 

 

 

 

to comply with the rules or regulations of any national securities exchange on which any of the first mortgage bonds may be listed. (Section 14.01 of First Mortgage.)

In addition, if the Trust Indenture Act is amended to require changes to the First Mortgage or the incorporation in the mortgage of additional provisions or to permit changes to, or the elimination of, provisions originally required by the Trust Indenture Act to be contained in the First Mortgage, we and the First Mortgage Trustee may, without the consent of any holders, enter into one or more supplemental indentures to evidence or effect the amendment. (Section 14.01 of First Mortgage.)

Except as provided above, the consent of the holders of first mortgage bonds of not less than a majority in aggregate principal amount of the first mortgage bonds of all series then outstanding, considered as one class, is required to add to or change or eliminate any of the provisions of the First Mortgage pursuant to one or more supplemental indentures; provided, however:

 

 

 

 

if less than all of the series of first mortgage bonds outstanding are directly affected by a proposed supplemental indenture, then only the consent of the holders of a majority in aggregate principal amount of outstanding first mortgage bonds of all series so directly affected, considered as one class, will be required; and

 

 

 

 

if the first mortgage bonds of any series have been issued in more than one tranche and if the proposed supplemental indenture directly affects the rights of the holders of one or more, but less than all, of these tranches, then the consent only of the holders of a majority in aggregate principal amount of the outstanding first mortgage bonds of all tranches so directly affected, considered as one class, will be required;

and provided further that no such amendment or modification may, without the consent of each holder of the outstanding First Mortgage of each series or tranche directly affected by the amendment or modification:

 

 

 

 

change the stated maturity of the principal of, or any installment of principal of or interest on, any first mortgage bond, or reduce the principal amount of, the amount of any installment of interest on or the rate of interest on any first mortgage bond, or change the method of calculating that rate or reduce any premium payable upon the redemption, or reduce the amount of the principal of a discount bond—a “discount bond” being a bond which by its terms pays less than its principal amount upon an acceleration of the maturity that would be due and payable upon a declaration of acceleration of maturity, or change the coin or currency or other property in which any first mortgage bond or any premium or the interest on the first mortgage bond is payable, or impair the right to institute suit for the enforcement of any such payment on or after the stated maturity of the first mortgage bond or, in the case of redemption, on or after the redemption date;

 

 

 

 

permit the creation of any lien ranking prior to the lien of the First Mortgage with respect to all or substantially all of the mortgaged property or terminate the lien of the First Mortgage on all or substantially all of the mortgaged property, or deprive that holder of the benefit of the security of the lien of the First Mortgage;

 

 

 

 

reduce the percentage in principal amount of the outstanding first mortgage bonds of that series or tranche, the consent of the holders of which is required for any supplemental indenture, or the consent of the holder of which is required for any waiver of compliance with any provision of the First Mortgage or any default under the First Mortgage and its consequences, or reduce the requirements for quorum or voting; or

 

 

 

 

modify some of the provisions of the First Mortgage relating to supplemental indentures, waiver of some covenants and waivers of past defaults.

A supplemental indenture which changes or eliminates any covenant or other provision of the First Mortgage which has expressly been included solely for the benefit of the holders of, or which is to remain in effect only so long as there shall be outstanding first mortgage bonds of one or more specified series or tranches, or modifies the rights of the holders of first mortgage bonds of those series or tranches with respect to that covenant or other provision, will be deemed not to affect the rights under the First Mortgage of the holders of the first mortgage bonds of any other series or tranche. (Section 14.02 of First Mortgage.)

Waiver

The holders of at least a majority in aggregate principal amount of all first mortgage bonds may waive our obligations to comply with some covenants, including our obligations to:

 

 

 

 

maintain our corporate existence and properties;

 

 

 

 

pay taxes and discharge liens;

 

 

 

 

maintain certain insurance; and

 

 

 

 

make recordings and filings necessary to protect the security of the holders of first mortgage bonds and the rights of the First Mortgage Trustee;

provided that the waiver occurs before the time compliance is required. The holders of at least a majority of the aggregate principal amount of outstanding first mortgage bonds of all affected series or tranches, considered as one class, may waive, before the time for compliance, compliance with our obligation to maintain an office or agency where the first mortgage bonds of that series or tranches may be surrendered for payment, registration, transfer or exchange, and compliance with any other covenant specified in a supplemental indenture respecting that series or tranches. (Section 6.09 of First Mortgage.)

Events of Default

Each of the following events constitutes an Event of Default under the First Mortgage:

 

 

 

 

our failure to pay interest on any first mortgage bond within 60 days after the same becomes due;

 

 

 

 

our failure to pay principal or premium, if any, on any first mortgage bond within 15 days after its maturity;

 

 

 

 

our failure to perform or breach of any of our covenants or warranties in the First Mortgage (other than a covenant or a warranty a default in the performance of which or breach of which is dealt with elsewhere under this paragraph) for a period of 60 days after there has been given to us by the First Mortgage Trustee, or to us and the First Mortgage Trustee by the holders of at least 50% in principal amount of outstanding first mortgage bonds, a written notice specifying the default or breach and requiring it to be remedied and stating that the notice is a “Notice of Default,” unless the First Mortgage Trustee, or the First Mortgage Trustee and the holders of a principal amount of first mortgage bonds not less than the principal amount of first mortgage bonds the holders of which gave the notice, as the case may be, agree in writing to an extension of the period prior to its expiration; provided, however, that the First Mortgage Trustee, or the First Mortgage Trustee and those holders, as the case may be, will be deemed to have agreed to an extension of that period if corrective action has been initiated by us within that period and is being diligently pursued;

Remedies

If an Event of Default occurs and is continuing, then the First Mortgage Trustee or the holders of not less than a majority in principal amount of first mortgage bonds then outstanding may declare the principal amount of all of the first mortgage bonds together with any premium on the first mortgage bonds to be immediately due and payable. At any time after this declaration of the

maturity of the first mortgage bonds then outstanding, but before the sale of any of the mortgaged property and before a judgment or decree for payment of money is to have been obtained by the First Mortgage trustee under the First Mortgage, the Event or Events of Default giving rise to this declaration of acceleration will, without further act, be deemed to have been waived, and this declaration and its consequences will, without further act, be deemed to have been rescinded and annulled, if:

 

 

 

 

we have paid or deposited with the First Mortgage Trustee a sum sufficient to pay:

 

 

 

 

all overdue interest, if any, on all first mortgage bonds then outstanding;

 

 

 

 

the principal of and any premium on any first mortgage bonds then outstanding which have become due otherwise than by this declaration of acceleration and interest on any first mortgage bonds at the prescribed rate or rates in those first mortgage bonds; and

 

 

 

 

all amounts due to the First Mortgage Trustee as compensation and reimbursement as provided in the First Mortgage; and

 

 

 

 

any other Event or Events of Default other than the non-payment of the principal of first mortgage bonds which became due solely by this declaration of acceleration, will have been cured or waived as provided in the First Mortgage. (Sections 10.02 and 10.17 of First Mortgage.)

In certain circumstances and to the extent permitted by law, the First Mortgage Trustee has the power to take possession of, and to hold, operate and manage, the mortgaged property, or with or without entry, sell the mortgaged property if an Event of Default occurs and is continuing. If the mortgaged property is sold, whether by the First Mortgage Trustee or pursuant to judicial proceedings, the principal of the outstanding first mortgage bonds, if not previously due, will become immediately due, together with any premium and accrued interest. (Sections 10.03, 10.04 and 10.05 of First Mortgage.)

If an Event of Default occurs and is continuing, the holders of a majority in principal amount of the first mortgage bonds then outstanding will have the right to direct the time, method and place of conducting any proceedings for any remedy available to the First Mortgage Trustee or exercising any trust or power conferred on the First Mortgage Trustee, provided that:

 

 

 

 

that direction does not conflict with any rule of law or with the First Mortgage, and could not involve the First Mortgage Trustee in personal liability in circumstances where indemnity would not, in the First Mortgage Trustee’s sole discretion, be adequate;

 

 

 

 

that direction is not unduly prejudicial to the rights of the nonassenting holders of first mortgage bonds; and

 

 

 

 

the First Mortgage Trustee may take any other action deemed proper by the First Mortgage Trustee which is not inconsistent with that direction. (Section 10.16 of First Mortgage.)

The First Mortgage provides that no holder of any first mortgage bond will have any right to institute any proceeding, judicial or otherwise, with respect to the First Mortgage, or for the appointment of a receiver or trustee, or for any other remedy under the First Mortgage, unless:

 

 

 

 

that holder has previously given to the First Mortgage Trustee written notice of a continuing Event of Default;

 

 

 

 

the holders of not less than a majority in aggregate principal amount of the first mortgage bonds then outstanding have made written request to the First Mortgage Trustee to institute proceedings in respect of that Event of Default and have offered the First Mortgage Trustee reasonable indemnity against cost and liabilities incurred in complying with the request; and

 

 

 

 

the First Mortgage Trustee has failed to institute any proceeding for 60 days after receipt of notice and no direction inconsistent with the request has been given to the First Mortgage Trustee during that 60-day period by the holders of a majority in aggregate principal amount of first mortgage bonds then outstanding.

Furthermore, no holder will be entitled to institute any of these actions if and to the extent that the action would disturb or prejudice the rights of other holders. (Section 10.11 of First Mortgage.)

Notwithstanding that the right of a holder to institute a proceeding with respect to the First Mortgage is subject to certain conditions precedent, each holder of a first mortgage bond has the right, which is absolute and unconditional, to receive payment of the principal of and any premium and interest on that first mortgage bond when due and to institute suit for the enforcement of any of these payments. These rights may not be impaired without the consent of that holder. (Section 10.12 of First Mortgage.) The First Mortgage Trustee must give holders notice of any default under the First Mortgage to the extent required by the Trust Indenture Act, unless the default would have been cured or waived, except that no notice to holders of a default of the character described in the third bullet point under “—Events of Default” above need be given until at least 45 days after that Event of Default occurs. (Section 11.02 of First Mortgage.) The Trust Indenture Act currently permits the First Mortgage Trustee to withhold notice of default except for certain payment defaults, if the First Mortgage Trustee in good faith determines the withholding of that notice to be in the interests of the holders.

As a condition precedent to certain actions by the First Mortgage Trustee in the enforcement of the lien of the First Mortgage and institution of action on the first mortgage bonds, the First Mortgage Trustee may require adequate indemnity against costs, expense and liabilities to be incurred in connection with the enforcement. (Sections 10.11 and 11.01 of First Mortgage.)

In addition to every other right and remedy provided in the First Mortgage, the First Mortgage Trustee may exercise any right or remedy available to the First Mortgage Trustee in its capacity as owner and holder of pledged bonds which arises as a result of a default or event of default under any Class A mortgage, whether or not an Event of Default under the First Mortgage has then occurred and is continuing. (Section 10.20 of First Mortgage.)

Defeasance

Any first mortgage bond or bonds, or any portion of the principal amount of the first mortgage bond or bonds, will be deemed to have been paid for purposes of the First Mortgage, and our entire indebtedness in respect of the first mortgage bond or bonds will be deemed to have been satisfied and discharged, if we irrevocably deposit with the First Mortgage Trustee, in trust:

 

 

 

 

money (including funded cash not otherwise applied as described under “—Withdrawal of Cash” above) in the amount which will be sufficient

 

 

 

 

eligible obligations, which do not contain provisions permitting the redemption or other prepayment thereof at the option of the issuer thereof, the principal of and the interest on which when due, without any regard to reinvestment thereof, will provide monies which will be sufficient; or

 

 

 

 

a combination of the first and second bullet points above sufficient,

to pay the principal of and any premium and interest on those first mortgage bonds as they become due; provided that in the case of the provision for payment or redemption of less than all the first mortgage bonds of any series or tranche, such first mortgage bonds or portions thereof shall have been selected by the board register. (Section 9.01 of the First Mortgage.) For this purpose, “eligible obligations” include direct obligations of, or obligations unconditionally guaranteed by, the United States of America, entitled to the benefit of the full faith and credit of the United States of America, and certificates, depositary receipts or other instruments which evidence a direct ownership interest in the obligations or in any specific interest or principal payments due in respect of the obligation.

While there is no legal precedent directly on point, it is possible that, for federal income tax purposes, any deposit contemplated in the preceding paragraph could be treated as a taxable exchange of the related first mortgage bonds for an issue of obligations of the trust or a direct interest in the cash and securities held in the trust. In that case, holders of those first mortgage bonds would recognize gain or loss as if the trust obligations or the cash or securities deposited, as the case may be, had actually been received by them in exchange for their first mortgage bonds. Those holders would then be required to include in income a share of the income, gain or loss of the trust. The amount so required to be included in income could be different from the amount that

would be includible in the absence of the deposit. We urge prospective investors to consult their own tax advisors as to the specific consequences to them of the deposit.

Resignation of the First Mortgage Trustee

The First Mortgage Trustee may resign at any time by giving written notice to us or may be removed at any time by the holders of a majority in principal amount of first mortgage bonds then outstanding. The resignation or removal of the First Mortgage Trustee and appointment of a successor trustee will not be effective until the successor trustee accepts the appointment in accordance with the First Mortgage. In addition, so long as no Event of Default or event which, after notice or lapse of time, or both, would become an Event of Default has occurred and is continuing, under certain circumstances, we may, by resolution of our Board of Directors, appoint a successor trustee. If that successor accepts the appointment, the First Mortgage Trustee will be deemed to have resigned and the successor will be deemed to have been appointed as trustee in accordance with the First Mortgage. (Section 11.10 of First Mortgage.)

Concerning the First Mortgage Trustee

The Bank of New York Mellon, the First Mortgage Trustee, has been our regular depositary of funds.

We and some of our subsidiaries maintain deposit accounts and conduct other banking transactions with The Bank of New York Mellon in the ordinary course of business. The Bank of New York Mellon also acts as trustee (i) our Senior Note Indenture, dated April 1, 2003 and (ii) under indentures relating to borrowings by or for the benefit of the lessors to finance their acquisition of our interest in the Perry Nuclear Power Plant and Beaver Valley Power Station in connection with the sale and leaseback of certain undivided interests in those plants. As lessee under the sale/leaseback documents, we are ultimately responsible for the payment of those borrowings.

Form

We will issue the Bonds only in definite form as registered bonds without coupons in denominations of $2,000 and multiple integral of $1,000 thereof. The Bonds initially will be issued in book-entry form only, through The Depository Trust Company. See “—Book-Entry” below.

Transfer or Exchange

Transfers of first mortgage bonds may be registered and first mortgage bonds may be exchanged for other first mortgage bonds of the same series and tranche of authorized denominations and of like tenor and aggregate principal amount at our office, as bond registrar, in New York, New York. We may change the place for registration of transfer of the first mortgage bonds, may appoint one or more additional bond registrars and may remove any bond registrar, all at our discretion. (Section 6.02 of First Mortgage.) We will not be required to issue, and the bond registrar will not be required to register, the transfer of or to exchange (a) first mortgage bonds of any series during the 15 days prior to giving any notice of redemption, or (b) any first mortgage bond selected for redemption in whole or in part, except the unredeemed portion of any first mortgage bond being redeemed in part. (Section 3.05 of First Mortgage.)

Book-Entry

The Bonds will be represented by one or more Global Certificates which will be issued in fully registered form, without coupons. The Bonds will be deposited with, or on behalf of, DTC and registered in the name of Cede & Co., as DTC’s nominee in the form of one or more Global Certificates or will remain in the custody of the First Mortgage Trustee pursuant to a FAST Balance Certificate Agreement between DTC and the First Mortgage Trustee. Upon the issuance of the Global Certificates, DTC or its nominee will credit, on its internal system, the principal amount of the individual beneficial interests represented by such Global Certificates to the accounts of persons

who have accounts with such depositary. Ownership of beneficial interests in a Global Certificate will be limited to persons who have accounts with DTC, or direct participants, or persons who hold interests through direct participants. Ownership of beneficial interests in a Global Certificate will be shown on, and the transfer of that ownership will be effected only through, records maintained by DTC or its nominee (with respect to interests of direct participants) and the records of direct participants (with respect to interests of persons other than direct participants).

So long as DTC, or its nominee, is the registered owner or holder of a Global Certificate, DTC or such nominee, as the case may be, will be considered the sole owner or holder of the Bonds represented by such Global Certificate for all purposes under the First Mortgage and the Bonds. No beneficial owner of an interest in a Global Certificate will be able to transfer the interest except in accordance with DTC’s applicable procedures, in addition to those provided for under the indenture.

Payments of the principal of, and interest on, a Global Certificate will be made to DTC or its nominee, as the case may be, as the registered owner thereof. Neither we, the First Mortgage Trustee nor any paying agent will have any responsibility or liability for any aspect of the records relating to or payments made on account of beneficial ownership interests in a Global Certificate or for maintaining, supervising or reviewing any records relating to such beneficial ownership interests. DTC or its nominee, upon receipt of any payment of principal or interest in respect of a Global Certificate, will credit direct participants’ accounts with payments in amounts proportionate to their respective beneficial interests in the principal amount of such Global Certificate as shown on the records of DTC or its nominee. We also expect that payments by direct participants to owners of beneficial interests in such Global Certificate held through such direct participants will be governed by standing instructions and customary practices, as is now the case with securities held for the accounts of customers registered in the names of nominees for such customers. Such payments will be the responsibility of such direct participants and neither we, the trustee nor any paying agent will have any responsibility therefor.

Transfers between direct participants in DTC will be effected in the ordinary way in accordance with DTC rules. If a holder requires physical delivery of a certificated Bond for any reason, including to sell Bonds to persons in jurisdictions which require such delivery of such Bonds or to pledge such Bonds, such holder must transfer its interest in a Global Certificate in accordance with DTC’s applicable procedures, or the procedures set forth in the indenture.

DTC will take any action permitted to be taken by a holder of Bonds (including the presentation of Bonds for exchange as described below) only at the direction of one or more direct participants to whose account the DTC interests in a Global Certificate is credited and only in respect of such portion of the aggregate principal amount of the Bonds as to which such direct participant or direct participants has or have given such direction. DTC has advised us that it is a limited purpose trust company organized under the New York Banking Law, a “banking organization” within the meaning of the New York Banking Law, a member of the Federal Reserve System, a “clearing corporation” within the meaning of the New York Uniform Commercial Code and a “clearing agency” registered pursuant to the provisions of Section 17A of the Securities Exchange Act of 1934. DTC was created to hold securities for its participants and facilitate the clearance and settlement of securities transactions between participants through electronic book- entry changes in accounts of its participants, thereby eliminating the need for physical movement of certificates. THE COMPANY

We are one of eight wholly-owned electric utility operating subsidiaries of FirstEnergy Corp., or FirstEnergy. We were organized under the laws of the State of Ohio in 1930 and own property and do business as an electric public utility in that state. We engage primarily in the distribution and sale of electric energy to communities in a 7,500 square mile area of central and northeastern Ohio. We also engage in the sale, purchase and interchange of electric energy with other electric companies. The area we serve has a population of approximately 2.8 million.

We own all of the outstanding common stock of Pennsylvania Power Company. Pennsylvania Power was organized under the laws of the Commonwealth of Pennsylvania in 1930 and owns property and does business as an electric public utility in that state. Pennsylvania Power furnishes electric service to communities in a 1,500 square mile area of western Pennsylvania. The area served by Pennsylvania Power has a population of approximately 0.3 million.

Limitation on Liens

The indenture provides that, so long as any debt securities are outstanding, we may not issue, assume, guarantee or permit to exist any Debt (as defined below) that is secured by any mortgage, security interest, pledge or lien (“Lien”) of or upon any of our Operating Property (as defined below), whether owned at the date of the indenture or subsequently acquired, without effectively securing such debt securities (together with, if we so determine, any of our other indebtedness ranking equally with such debt securities) equally and ratably with that Debt (but only so long as that Debt is so secured).

The indenture provides that so long as any debt securities are outstanding, we may not enter into or permit to exist, any Sale and Lease-Back Transaction with respect to any Operating Property (except for transactions involving leases for a term, including renewals, of not more than 48 months), if the purchasers’ commitment is obtained more than 18 months after the later of the completion of the acquisition, construction or development of that Operating Property or the placing in operation of that Operating Property or of that Operating Property as constructed or developed or substantially repaired, altered or improved.

This restriction will not apply if:

 

 

 

 

we would be entitled pursuant to any of the provisions described in clauses (1) to (10) of the first sentence of the second paragraph under “—Limitation on Liens” above to issue, assume, guarantee or permit to exist Debt secured by a Lien on that Operating Property without equally and ratably securing the debt securities;

The term “Value,” as used above, means, with respect to a Sale and Lease-Back Transaction, as of any particular time, the amount equal to the greater of (i) the net proceeds to us from the sale or transfer of the property leased pursuant to the Sale and Lease-Back Transaction or (ii) the net book value of the property leased, as determined by us in accordance with GAAP, in either case multiplied by a fraction, the numerator of which will be equal to the number of full years of the term of the lease that is part of the Sale and Lease-Back Transaction remaining at the time of determination and the denominator of which will be equal to the number of full years of the term of the lease, without regard, in any case, to any renewal or extension options contained in the lease.

We have agreed not to consolidate with or merge into any other entity or convey, sell or otherwise transfer our properties and assets substantially as an entirety to any entity unless:

 

 

 

 

the successor is an entity organized and existing under the laws of the United States of America or any State of the United States or the District of Columbia;

An “original issue discount security” means any security authenticated and delivered under the indenture which provides for an amount less than the principal amount thereof to be due and payable upon the declaration of acceleration of the maturity thereof.

The indenture also permits us and the trustee to amend the indenture without the consent of the holders of any debt securities for any of the following purposes:

Events of Default

An event of default with respect to any series of debt securities is defined in the indenture as being any one of the following:

 

 

 

 

failure to pay interest on the debt securities of that series for 30 days after payment is due, provided, however, if applicable to that series, that a valid extension of the interest payment period by us as contemplated in the indenture will not constitute a failure to pay interest;

 

 

 

 

failure to pay principal of or any premium on the debt securities of that series when due, whether at stated maturity or upon earlier acceleration or redemption;

 

 

 

 

failure to perform other covenants in the indenture for 90 days after we are given written notice from the trustee or the trustee receives written notice from the registered owners of at least 33% in principal amount of the debt securities of that series; however, the trustee or the trustee and the holders of such principal amount of debt securities of that series can agree to an extension of the 90-day period and such an agreement to extend will be automatically deemed to occur if we are diligently pursuing action to correct the default;

 

 

 

 

certain events of bankruptcy, insolvency, reorganization, receivership or liquidation relating to us; and

 

 

 

 

any other event of default included in the supplemental indenture, board resolution or officer’s certificate for that series of debt securities.

An event of default regarding a particular series of debt securities will not necessarily constitute an event of default for any other series of debt securities.

We will be required to file with the trustee annually an officer’s certificate as to the absence of default in performance of certain covenants in the indenture. The indenture provides that the trustee may withhold notice to the holders of the debt securities of any default, except in the case of default in the payment of principal of, or premium, if any, or interest, if any, on the debt securities or in the payment of any sinking fund installment with respect to the debt securities, if the trustee in good faith determines that it is in the interest of the holders of the debt securities to do so.

The indenture provides that, if an event of default with respect to the debt securities of any series occurs and continues, either the trustee or the holders of 33% or more in aggregate principal amount of the debt securities of that series may declare the principal amount of all the debt securities to be due and payable immediately. However, if the event of default is applicable to all outstanding debt securities under the indenture, or if related to certain events of bankruptcy, insolvency, reorganization, arrangement, adjustment, composition or other similar events, only the trustee or holders of at least 33% in principal amount of all outstanding debt securities of all series, voting as one class, and not the holders of any one series, may make such a declaration of acceleration.

At any time after a declaration of acceleration with respect to the debt securities of any series has been made and before a judgment or decree for payment of the money due has been obtained, the event of default giving rise to such declaration of acceleration will be considered waived, and such declaration and its consequences will be considered rescinded and annulled, if:
