Other Events --------- (a) On August 18, 2005, Ohio Casualty Corporation (the "Corporation") issued a press release announcing that the directors of the Corporation have declared a quarterly dividend of $.06 per share, payable September 12, 2005 to shareholders of record on September 1, 2005. (b) The press release issued on August 18, 2005 also states that the directors of the Corporation have authorized the repurchase of up to four million shares of the Corporation's common shares. Pursuant to the authorization, the Corporation may purchase shares from time to time in the open market or in privately negotiated transactions and the purchases will be funded from available working capital.
