Item 7.01. Regulation FD Disclosure.

On November 22, 2005, the Office of the Comptroller of the Currency approved First Citizens National Bank’s proposal to purchase certain assets and assume certain liabilities of the Hannibal Branch, located in Hannibal, New York of Fulton Savings Bank and subsequently relocate the acquired branch from Hannibal, New York to Wellsville, New York. First Citizens National Bank intends to consummate the proposed transaction on or about December 19, 2005.
