The 2013 Annual Meeting of Stockholders of Bristow Group Inc. (the “Company”) will be held at the Hotel Sorella, 800 Sorella Court, Houston, Texas 77024 on August 1, 2013 at 8:00 a.m. (CDT).

Proposals to be considered at the Annual Meeting:

4.	Approval and ratification of the selection of KPMG LLP as the Company’s independent auditors for the fiscal year ending March 31, 2014.

The Board of Directors recommends a vote “FOR” each of the nominees listed in Item 1 and Items 2, 3 and 4.

The Board of Directors has fixed the close of business on June 13, 2013 as the record date (the “Record Date”) for the determination of stockholders entitled to receive notice of and to vote at the Annual Meeting or any adjournment(s) thereof.
