(b) On December 16, 2015, Michael J. Happe, Group Vice President, Residential and Contractor Businesses, provided The Toro Company (the “Company”) with notice of his resignation, which is effective January 1, 2016. Mr. Happe is leaving the Company to become President and CEO, and a member of the board of directors, of Winnebago Industries, Inc. (NYSE: WGO).
