ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On April 6, 2023, Jamie Schnur, a director of Intrusion Inc. (the “Company), notified the Board of Directors (the “Board) of his decision not to stand for reelection as a director nominee at the Company’s 2023 Annual Meeting of Shareholders (the “2023 Annual Meeting”). Mr. Schnur will continue to serve on the Board through the end of his term, which will occur at the end of the 2023 Annual Meeting. Mr. Schnur has indicated that his decision not to stand for reelection to the Board was the result of re-balancing his personal and professional commitments. Effective upon Mr. Schnur’s resignation as a director, the size of the Company's Board will be reduced from six to five directors.
