Item 8.01 Other Events.

On March 31, 2009, Genzyme Corporation issued a press release announcing it had entered into an agreement with Bayer Schering Pharma AG to acquire Bayer’s hematologic oncology portfolio. A copy of the press release is included as Exhibit 99.1 hereto.
