Explanatory Note

      On March 4, 2005, we filed a Current Report on Form 8-K reporting under “Item 7.01. Regulation FD Disclosure” that Temple-Inland Inc. had hosted an investor meeting on that day. Furnished as an Exhibit to that Form 8-K were the presentation materials used at that investor meeting. When we filed that 8-K, we intended to designate the filing as a dual submission of the 8-K as soliciting material pursuant to Rule 14a-12 under the Exchange Act. An inadvertent error in our EDGAR submission resulted in the failure to properly designate the filing as such a dual submission. This filing is being made for the sole purpose of correcting that error and by filing the same presentation materials as soliciting material pursuant to Rule 14a-12 under the Exchange Act.

Reconciliation of Non-GAAP Financial Measures

      In our presentation to investors on March 4, 2005, we used certain non-GAAP financial measures. As defined in Regulation G, “Conditions for Use of Non-GAAP Financial Measures,” a non-GAAP financial measure is a numerical measure of a company’s historical or future performance, financial position, or cash flow that excludes (includes) amounts, or is subject to adjustments that have the effect of excluding (including) amounts, that are included (excluded) in the most directly comparable measure calculated and presented in accordance with generally accepted accounting principles (GAAP).

      The non-GAAP financial measures are used in the presentation materials in addition to, and in conjunction with, results presented in accordance with GAAP. These non-GAAP financial measures should not be relied upon to the exclusion of GAAP financial measures. These non-GAAP financial measures reflect an additional way of viewing aspects of our operations that, when viewed with our GAAP results and the accompanying reconciliations to corresponding GAAP financial measures, may provide a more complete understanding of factors and trends affecting our business. We strongly encourage investors to review our consolidated financial statements and publicly filed reports in their entirety and to not rely on any single financial measure. Because non-GAAP financial measures are not standardized, it may not be possible to compare these financial measures with other companies’ non-GAAP financial measures having the same or similar names.

Non-GAAP Financial Measures

      In the presentation materials, we define “Free Cash Flow” as cash provided by operations less capital expenditures. Our management believes that free cash flow is a useful measure in that it provides a representation of our cash level available to service debt on a normalized basis. The reconciliation of Free Cash Flow to the most comparable GAAP financial measure, Cash Provided by Operations, is set forth below:
