* Participants in the Plan are no longer permitted to purchase Temple-Inland Inc. common stock under the Plan.  Therefore, the Company has filed a post-effective amendment on Form S-8 with the Securities and Exchange Commission to deregister any unsold shares of Common Stock and related plan interests offered to employees under the Plan. Upon the filing of this Form 15, the Plan’s obligation to prepare and file an annual report on Form 11-K will be suspended.  Temple-Inland’s common stock, $1.00 par value per share, and preferred stock purchase rights continue to be registered pursuant to Section 12(b) of the Act.
