         The contract identified in block 10a is hereby modified as follows:

         1.   The payment terms for this contract are changed from Net 10 to
              Net 15.
         2.   Line item 01 is changed from *** to *** at the current price
              of *** per watt.  The quantity covers the deliveries in March 2009
              and April 2009.
         3.   Line item 011 is added to the contract for 2009.  The quantity
              will be *** at *** for a total of ***.  The estimated delivery for
              May through October will be *** per month.  The estimated delivery
              for November and December will be *** per month.
         4.   Line item 007 is changed from *** per watt to *** per watt.  The
              quantity is increased from *** to ***.  The estimated delivery for
              each month will be *** per month.  The down payment will remain
              at ***
         5.   Option year one's price is changed to *** per watt.  Option year
              two's price is changed to *** per watt.  Option year three's price
              is changed to *** per watt.  The option years will be negotiated
              30 days prior to the end of the contract.  Down payments for the
