State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Fortel, Inc. ("Fortel") is unable to file its Annual Report on Form 10-K for the twelve months ended September 30, 2002 within 90 days after the end of such twelve month period without unreasonable effort or expense. Because of its current financial condition and the expense associated with retaining independent accountants, Fortel has been unable to retain a new set of independent accountants to perform the audit and review of its financial statements. Fortel is currently seeking a new set of independent accountants, but an audit of Fortel will not be complete within the fifteenth calendar day following the prescribed due date of Fortel’s annual report on Form 10-K.  Fortel intends to file its annual report on Form 10-K using unaudited financials and then will file an amended annual report containing audited financials after the audit is complete.  Neither filing will be made within the fifteenth calendar day following the prescribed due date of Fortel’s annual report.
