PART III -- NARRATIVE
 
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
 
On January 20, 2011, stockholders of Presidential Realty Corporation (the “Company”) approved a plan of liquidation (“Plan of Liquidation”), which provides for the sale of all of the Company’s assets over time and the distribution of the net proceeds of sale to the stockholders after satisfaction of the Company’s liabilities.  Although the Plan of Liquidation was not approved by the stockholders until January 20, 2011, the Company is applying the liquidation basis of accounting effective January 1, 2011.  Any activity between January 1, 2011 and January 20, 2011 would not be materially different under the going concern basis.  Because of the complexities in changing the Company’s accounting to liquidation basis, the Company has not yet completed such changes and is unable to do so without unreasonable effort or expense before the due date for the Form 10-Q.
