Item 2.02 Results of Operations and Financial Condition

On February 19, 2014, NorthWestern Corporation d/b/a NorthWestern Energy (NYSE: NWE) (the “Company”) issued a press release (the “Press Release”) discussing financial results for the 12-month period ended December 31, 2013, and reaffirming earnings guidance for 2014 in the range of $2.60 to $2.75per diluted share. The Press Release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
