Item 8.01         Other Events.

By letter dated September 14, 2018, Adtalem Global Education Inc. (“Adtalem”) received notice via its subsidiary, DeVry University (“DeVry”), that on September 12, 2018, the Higher Learning Commission Board of Trustees approved the extension of accreditation related to the Change in Control application wherein Cogswell Education LLC (“Cogswell”) will acquire DeVry pursuant to that certain Stock Purchase Agreement by and between Cogswell and Adtalem dated as of December 4, 2017 and amended as of August 2, 2018.
