Item 7.01 Regulation FD Disclosure.

On May 18, 2010, DeVry Inc. issued a press release announcing that its Board of Directors had declared a semi-annual dividend on the Company’s common stock of $0.10 per share, payable on July 8, 2010, to common stockholders of record as of June 15, 2010. The policy of the Board of Directors is that any payment of dividends will be at the discretion of the Board of Directors and will be dependent on the earnings and financial requirements of the Company and other factors as the board of directors deems relevant.  A copy of the Company’s press release announcing the dividend is furnished as Exhibit 99.1 to this Report and is incorporated by reference into this item.
