Item 1.01 | Entry into a Material Definitive Agreement. |
The information set forth in Item 8.01 of this Current Report on Form 8-K relating to the amendment of the Purchase and Sale Agreement described therein is incorporated by reference into this Item 1.01.
Item 2.02 | Regulation FD Disclosure. |
On March 2, 2020, Northwest Natural Holding Company (NW Holdings) issued a press release announcing its earnings for the year and quarter ended December 31, 2019. A copy of the press release is attached as Exhibit 99.1.

Item 8.01 | Other Events. |
As previously disclosed, on June 20, 2018, NWN Gas Storage, LLC, (NWN Gas Storage) a wholly owned subsidiary of Northwest Natural Holding Company (NW Holdings), entered into a Purchase and Sale Agreement (the Agreement), as amended on December 10, 2019, that provides for the sale by NWN Gas Storage of all of its membership interests in Gill Ranch Gas Storage, LLC (Gill Ranch). On February 26, 2020, NWN Gas Storage and the buyer amended the Agreement to change the date after which the Agreement would be subject to termination by either party from February 28, 2020 to March 31, 2020. A copy of such amendment is attached as Exhibit 10.1.
