           At the Company’s August 20, 2010, Annual Meeting of Shareholders, the Company’s shareholders re-elected the existing board of directors and ratified the selection of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for fiscal 2011. Of the 12,982,205  shares of common stock outstanding as of the record date of June 25, 2010, a total of 12,036,868 shares were voted in person or by proxy, representing 92.7% of the total votes entitled to be cast, constituting a majority and therefore more than a quorum of the outstanding shares entitled to vote.
