Item 1.01     Entry into a Material Definitive Agreement.

On April 16, 2010, Registrant entered into an amendment to its lease with Sobrato Development #871 covering the premises for its San Jose, California wafer fab located at 71 Vista Montana.  The amendment extends the lease for five years, through April 30, 2016; specifies the monthly rental rate, which is reduced from the current rent; and eliminates the need for Registrant to fund earthquake insurance. The full text of the lease amendment is attached as Exhibit 10.9 to this Current Report on Form 8-K.

Item 2.02.    Results of Operations and Financial Condition.

On April 20, 2010, Registrant announced via news release estimated results for its fiscal 2010 fourth quarter ended April 3, 2010.  The full text of the news release issued in connection with that announcement is attached as Exhibit 99.1 to this Current Report on Form 8-K.
