Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 6, 2011, G. Ogden Nutting resigned as a director of United Bankshares, Inc. (“United”). In his letter of resignation, Mr. Nutting stated that he would not be able to fulfill his upcoming obligation of meeting attendance and participation prior to the end of his term expiring at the 2011 Annual Meeting. Mr. Nutting’s resignation was not in response to any disagreement with the operations, policies or practices of United.
