Each registrant is filing on its own behalf all of the information contained in this Form 8-K that relates to such registrant and, where required, its subsidiaries. Item 8.01. Other Events

     FERC Order

     On May 3, 2006, the Federal Energy Regulatory Commission (the “FERC”) issued an order approving the application of Pinnacle West Capital Corporation (“Pinnacle West”) to borrow funds under Pinnacle West’s Amended and Restated Credit Agreement, dated as of December 9, 2005 and to issue a broad range of debt and equity securities. See “FERC Order” in Item 8.01 of the Pinnacle West/Arizona Public Service Company Current Report on Form 8-K filed with the Securities and Exchange Commission on April 24, 2006 for information about the April 17, 2006 FERC order giving rise to Pinnacle West’s application.
