Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 24, 2022, Maria L. Lacal announced she will retire from her position as Chief Nuclear Officer Palo Verde Generating Station, Arizona Public Service Company with an effective date that is targeting the summer of 2022, but the exact retirement date will be determined at a later date.
