This Post-Effective Amendment No. 1 to Form S-4 Registration Statement is being filed solely to remove from registration securities that were registered and will not be issued in connection with the Registrant’s offering.

      On August 20, 1999, Northeast Utilities (the “Registrant”) filed its Registration Statement on Form S-4 (No. 333-85613) (the “Registration Statement”) with the Securities and Exchange Commission with respect to 12,000,000 of the Registrant’s common shares which were to be issued in connection with the Registrant’s merger with Yankee Energy Systems, Inc.

      On March 1, 2000, the merger was consummated and 11,144,762 common shares of the Registrant were issued. No further common shares will be issued in connection with the merger.

     The Registrant is filing this Post-Effective Amendment No. 1 to the Registration Statement to withdraw the Registration Statement, including all exhibits to the Registration Statement, with respect to all unsold Registrant common shares registered under the Registration Statement.
