– SUBSEQUENT EVENTS

On

November 8, 2019,

the Company’s option agreements with parties holding

99%

of its Convertible Senior Notes that allowed the Company, at its sole option, at any time prior to

December 5, 2019 (

“Exercise Notice Date”), to extend the maturity date of the Convertible Senior Notes to

September 5, 2021,

were amended to replace the Exercise Notice Date from

December 5, 2019

to

March 5, 2020.
