Dear Colleagues:

We are writing today to give you a quick update on Couche-Tard’s attempt to purchase Casey’s.  As expected, Couche-Tard has extended its unsolicited $36 per share offer for all outstanding shares of Casey’s.  The offer was set to expire on July 9.  Extensions like these are common, and it’s possible that Couche-Tard will extend the offer again in the coming months.  It’s important to note that today’s announcement has no impact on Casey’s or our business.  Our Board of Directors continues to recommend that shareholders not tender their shares into Couche-Tard’s offer.

In its announcement, Couche-Tard reported that only about 19.2% of Casey’s outstanding shares have been tendered into the offer.  This low tender count reinforces the feedback we have received from many of our shareholders who agree that the Couche-Tard offer significantly undervalues the company.  Moreover, Couche-Tard does not actually own the shares that have been tendered and shareholders can still withdraw their tendered shares.

After a record year and given our strong outlook for fiscal 2011, our Board believes that Casey’s can create far greater value than reflected in Couche-Tard’s offer. We remain enthusiastic about Casey’s superior value potential given our industry-leading performance, significant growth opportunities, strong balance sheet and real estate position, and the benefits of our highly differentiated business model and well-regarded self-distribution system.

You, our employees, are a vital part of Casey’s success, and we thank you for your continued dedication to improving our great company.  Remember that it is business-as-usual, and together, we will make this summer a great one for Casey’s.
