Shareholder Meeting Notice

Casey’s General Stores, Inc.’s Annual Meeting of Shareholders will be held on September 15, 2017 at Casey’s Corporate Headquarters, One SE Convenience Blvd., Ankeny, Iowa 50021 at 9:00 a.m. Central Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote FOR all nominees, FOR Proposals 2 and 3, and 1 YEAR for Proposal 4:

1.To elect three Class I Directors for terms ending in 2020. Nominees: Robert J. Myers, Diane C. Bridgewater, and Larree M. Renda

2.To ratify the appointment of KPMG LLP as the independent auditors of the Company for the fiscal year ending April 30, 2018.

3.To approve, on an advisory basis, the compensation of our named executive officers.

4.To recommend, on an advisory basis, the frequency of future advisory votes concerning the compensation of our named executive officers. Note: To transact such other business as may properly come before the annual meeting or any adjournment or postponement thereof.
