Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 14, 2007, the Compensation Committee of the Board of Directors of Electro Scientific Industries, Inc. approved an increase in the target bonus from 30% to 45% of base salary for Kerry Mustoe, Vice President, Chief Accounting Officer and Controller of the Company under the Company’s Executive Team Bonus Plan.
