10-Q, N-SAR or the transition report portion thereof could not be filed within

         The Registrant sold all of the shares of Marsel Mirror & Glass
Products, Inc. ("Marsel") on December 21, 1996. Because the Company no longer
owns Marsel, it has been unable to prepare the required financial statements.
