This Post-Effective Amendment No. 1 relates to the Registration Statement on Form S-8 (File No. 333-127399) of Syms Corp (the "Company"), a New Jersey corporation, filed on August 10, 2005, pertaining to 850,000 shares of the Company's common stock under the Company's 2005 Stock Option Plan.  This Post-Effective Amendment No. 1 is being filed in order to deregister all securities remaining unsold under that Registration Statement, in connection with the Company's filing of a Form 25 and Form 15 under the Securities Exchange Act of 1934, as amended.
